Documents Required for Private Limited Company Registration

The complete, no-surprises checklist — exactly what each director, the registered office, and the company need. Get these ready and your registration sails through in one go.

What you'll need, in short

Documents for a Private Limited Company registration fall into three sets: (1) identity & address proof for every director and shareholder, (2) proof of the registered office address with an owner's NOC, and (3) the company's own details — proposed names, capital and business activity. Get all three ready up front and the SPICe+ filing goes through without a resubmission.

Here's the full checklist, broken down so nothing gets missed.

1. For every director & shareholder

Required from each person, individually.

  • PAN cardMandatory for all Indian nationals.
  • Identity proof — Aadhaar, Voter ID, Passport or Driving Licence
  • Address proof — bank statement, electricity, mobile or telephone billMust be recent — not older than 2 months.
  • Passport-size photograph
  • Email ID & mobile numberUsed for OTP verification on the MCA portal.
  • Digital Signature Certificate (DSC)Class-3 DSC to sign the forms — we arrange this as part of the process.

2. For the registered office

The official address of the company — can be residential or commercial.

  • Address proof — latest electricity / water / gas bill or property tax receiptNot older than 2 months.
  • No Objection Certificate (NOC) from the property owner
  • Rent / lease agreementIf the premises are rented.
  • Sale deed or property documentIf the premises are owned.

Will your address proof be accepted?

Address proof trips up more registrations than anything else. Answer three quick questions and know for sure — before you file.

1. What kind of bill do you have?

2. How old is the bill?

3. Whose name is on the bill?

3. Company details to decide

Not paperwork as such — decisions you'll lock in during filing.

  • 1–2 proposed company names
  • Authorised & paid-up capital amount
  • Main business activity / objects of the company
  • Shareholding split between the members
Foreign nationals or NRIs? Your passport is mandatory as ID proof, and your identity & address documents must be notarised and apostilled (or consularised) in your country of residence. Setting up from abroad? See which structure fits and talk to us early.
Avoid a rejection. Mismatched names, an outdated bill, or a missing NOC are the top reasons MCA bounces an application — and a rejected filing can mean re-paying non-refundable stamp duty. See how this affects your registration cost, then check the full step-by-step process.
No bill? No problem

You can register a Company, OPC or LLP without any utility bill

Don't have a utility bill in time — or none that qualifies? You don't have to wait. We register your company using a correspondence address now, and then verify your registered office by filing Form INC-22 within 30 days of incorporation.

The one deadline that matters: INC-22 must be filed within 30 days of registration. Miss it and MCA charges a late fee that can run up to ₹5,200. We track this date for you so it never slips.

What we'll need to file your INC-22:

  1. Latest electricity bill of the premises
  2. Rent agreement with the landlord / owner
  3. NOC from the owner permitting office use
  4. Photograph of the new banner / board showing the updated address
  5. Director's photograph working at the new office

Works for Private Limited, OPC and LLP registrations.

FAQs

Which documents are required for company registration?
Three sets: identity and address proof for each director/shareholder (PAN, Aadhaar/passport, a recent bill, photo), registered-office proof with the owner's NOC, and the company's own details (proposed names, capital, business activity).
Is PAN card mandatory for company registration?
Yes — PAN is mandatory for every Indian director and shareholder. Foreign nationals use their passport as identity proof instead, with documents notarised and apostilled.
Can I register a company at my home address?
Yes. A residential address can be the registered office — you just need a recent utility bill and a No Objection Certificate from the property owner.
How recent must the address proof be?
Bank statements and utility bills used as address proof should not be older than 2 months at the time of filing.
Do I need a DSC before applying?
Every director signing the forms needs a Class-3 Digital Signature Certificate. We arrange the DSC as part of the registration process, so you don't have to source it separately.
